Corporate Governance and Legal Environment

Overview

This course provides a strategic and practice-oriented exploration of corporate governance and its impact on organizational performance and leadership. It is designed for senior executives who engage with boards, aspire to board roles, or already serve as board directors seeking to strengthen non-executive profile. Participants will examine governance models across Europe, evolving EU regulations, and global trends shaping boardroom reality. The course emphasizes real boardroom dilemmas and best practices – how boards make decisions, exercise oversight, and interact with management to create sustainable value.

  • Fundamentals of corporate governance: definition, background, history, theory, global trends and developments;
  • Board structure: role, functions, committees; requirements for board members, main duties of board members, liability of the board;
  • Board composition: expertise, diversity and board dynamics;

  • The role of shareholders and stakeholders in corporate governance;
  • Boardroom best practices: strategic leadership, remuneration, succession planning;
  • CEO: functions, role and requirements for the CEO;
  • Chair: functions, role and requirements for the chair.


After this course you will be able to:

  • Articulate the fundamental principles and evolving frameworks of corporate governance, and understand how legal, regulatory, and normative forces shape governance practices in different contexts.
  • Navigate the structure and functioning of boards of directors with confidence, developing a clear understanding of how to engage effectively with boards as an executive, advisor, or emerging board member.
  • Interpret and manage boardroom dynamics, appreciating the interplay of personalities, power, culture, and decision-making that influences board effectiveness and strategic outcomes.
  • Critically evaluate and enhance governance structures and processes against international best practices, identifying opportunities to strengthen oversight, performance, and long-term value creation.
  • Reflect on the ethical and fiduciary responsibilities of governance participants, and cultivate the mindset, judgment, and integrity required to contribute meaningfully as a future board member or senior leader.

Prof. Georg Guttmann

  • Director of Board Programmes (ES-HSG) & Assistant Professor of International Corporate Governance at University of St.Gallen
  • Director of Board Programmes at the Executive School where he leads a portfolio of research and practice initiatives aimed at executive committees and boards of directors of large European companies.
  • His research focus lies in the area of strategic leadership and corporate governance.
  • He obtained his doctorate in strategy and management from University of St. Gallen with highest distinction and was a Visiting Scholar at Singapore Management University.
  • A lecturer for international corporate governance and big data analytics.
