Part I: Corporate Governance and Legal Environment

  • Dates: 29-30 April, 2024
  • Location: Technopolis, Balčikonio str. 3
  • Faculty: Prof. Georg Guttmann, Director of Board Programmes & Assistant Professor of International Corporate Governance at University of St. Gallen
  • At the end of this course, you should be able to explain the general concepts and basic principles of corporate governance; assess selected governance structure and practices of an organization in terms of alignment with international best practices; discuss factors that influence how effectively a board operates.

  • The Director of Board Programmes at the Executive School where he leads a portfolio of research and practice initiatives aimed at executive committees and boards of directors of large European companies.
  • His research focus lies in the area of strategic leadership and corporate governance.
  • He obtained his doctorate in strategy and management from University of St. Gallen with highest distinction and was a Visiting Scholar at Singapore Management University.

    • At the end of this course, you should be able to discuss the duties and liabilities of the participants in a company’s governance structure, including managers, boards, and shareholders.
    • It will include a practical, case-based overview.

    Rolandas Valiūnas

    • Managing Partner at Ellex Valiunas, Co-Chair of the BMI Executive Institute Board with experience in advising foreign investors and Lithuanian market leaders on a wide range of complex corporate governance and M&A issues.
    • Rolandas is highly commended for his significant contribution to attracting foreign investment and improving the legal framework and business environment in Lithuania.
    • He has a long-standing partnership with the Lithuanian economic investor business association Investors’ Forum as chairman of the board — a significant part of his public activity.
    • In 2020, Rolandas Valiūnas was entrusted with an important role in the International Bar Association (IBA), where he was appointed to chair the prestigious IBA Law Firm Management Committee (LFMC).

    • Chairman of the Board and Audit Committee at Cenergy Holdings
    • He holds also a Certificate in Corporate Governance (INSEAD).
    • After ten years of financial auditing at KPMG in Brussels (Belgium) and Stamford (USA), he joined the Finance Department and then the Audit & Risks Department of ENGIE (France).
    • Since 2017, he advises boards and audit committees on governance matters.
    • Chairman of the Board of directors and chairman of the audit committee of Cenergy Holdings. He is also chairman of International Trade, a Viohalco subsidiary.

    • Prerequisite: you should have taken part in at least 1 board meeting

    The structure of the module

    • The course will commence by addressing the legal and practical aspects of board member liabilities.
    • The RIVERFLOW simulation lasts for 3 hours: 90 minutes of simulation followed by 90 minutes of debriefing and lessons learned. The simulation mirrors a typical Audit Committee meeting with a 7-point agenda. The Chairman is responsible for leading the meeting and preparing to report to the Board of Directors the following day. The debriefing session, led by Xavier, aims to highlight the key points of the meeting and to build on the experiences of the participants.
